Palm Coast Holdings, a licensed real estate broker, represents three related companies which hold title to over 9,000 acres of land in Palm Coast which is the population center of Flagler County, one of the fastest growing counties in the United States. The companies are Florida Landmark Communities, Palm Coast Land and Palm Coast Forest. Florida Landmark Communities is the developer of Town Center at Palm Coast and several other smaller projects. Palm Coast Land and Palm Coast Forest join Florida Landmark Communities as the developer of Palm Coast Park. |
Acquiring Land: |
In 1996, Palm Coast Holdings acquired a portfolio of real estate assets in Flagler County from ITT/Community Development Corporation. The portfolio included developed residential, commercial and industrial lots and about 13,000 acres of undeveloped land. The developed land was substantially sold by 2000. In 1999 and 2000, Palm Coast Holdings acquired an additional 6,800 undeveloped acres in Flagler County, and in 2001, it acquired another 6,400 undeveloped acres in Flagler and Volusia Counties. Palm Coast Holdings will continue to acquire undeveloped land in northeast Florida that has near-term potential for development. |

| Entitlements And Infrastructure Improvements |
| Conceptual development plans are prepared for all undeveloped land parcels. Palm Coast Holdings prefers mixed-use projects that offer "live, work, shop and play" opportunities. Plans are designed to conserve and enhance wetlands and protect native flora and fauna. After completing a conceptual development plan, Palm Coast Holdings obtains all necessary land use approvals, including zoning (entitlements) consistent with the uses shown on the plan. Simultaneously, roads, utilities and storm water drainage (infrastructure improvements) are designed and permitted. Then, Palm Coast Holdings constructs the infrastructure improvements to create both buildable lots and tracts that can be further developed by others. |

Sales And Marketing |
| After all entitlements are obtained - during and after construction of the infrastructure improvements - Palm Coast Holdings sells lots and tracts to a combination of buyers that include single-family and multi-family homebuilders, home site developers, retailers and retail developers, industrial users and industrial developers, mixed-use developers, churches, fraternal organizations, private schools, religious organizations and investors. Many sales to investors are structured as 1031 tax deferred exchanges. Most land sales are made through personal contact or by local and regional brokers who are familiar with Palm Coast Holdings and the tremendous recent growth and future growth potential in northeast Florida. |

Town Center At Palm Coast |
| Town Center at Palm Coast is a mixed-use development featuring neo traditional urban design. The Town Center site is flanked by Interstate-95 and surrounded by major arterial roads. Town Center is ideally located adjacent to the Florida Hospital Flagler, Flagler County Airport and Flagler/Palm Coast High School. At build-out, Town Center is expected to include up to 2,950 residential units, 2,200,000 square feet of commercial space and 1,400,000 square feet of office space. Actual build-out will depend on future real estate market conditions. Town Center is fully approved and permitted and development of the major infrastructure improvements is substantially completed. All sites are ready for construction. |

Palm Coast Park |
| Palm Coast Park is also a mixed-use development. The Palm Coast Park site is bifurcated by US Highway 1. The northern boundary of Palm Coast Park is approximately one mile south of an existing Interstate-95 interchange; the southern boundary is located near the terminus of Palm Coast Parkway. Some of the industrial sites at Palm Coast Park will have access to the Florida East Coast rail line.
At build-out, Palm Coast Park is expected to include up to 3,960 residential units, 1,500,000 square feet of commercial space, 800,000 square feet of office space and 800,000 square feet of industrial space. The project is fully approved and permitted and the major infrastructure development will be completed this year. Development tracts are available for sale. |

Other active projects in Palm Coast include the following: Airport Commerce Center, consisting of retail commercial and industrial lots; Beach Village, consisting of a Publix grocery store anchored shopping center that is under contract, 4 commercial lots and a multi-family residential lot for up to 120 units; Matanzas Pointe, which will consist of a Publix grocery store anchored shopping center that is under contract and a 9.5± acre adjacent commercial lot that could be further subdivided; and Whiteview Professional Center which will consist of commercial and office lots. |
